INVOICE AND PAYMENT POLICY

Entity: CAPG JEWELS PRIVATE LIMITED (Operating as MINIMISS Silver) Effective Date: 25th May 2026

1. PURPOSE AND SCOPE This Invoice Policy ("Policy") establishes the standard operating procedures for the generation, issuance, and realization of commercial invoices by CAPG JEWELS PRIVATE LIMITED ("Company"). This Policy governs all B2B and B2C transactions encompassing the sale of silver goods, customized jewelry, and related accessories under the brand MINIMISS Silver.

2. INVOICE GENERATION AND ISSUANCE

2.1. Standard Particulars: All invoices generated by the Company shall comply with the prevailing provisions of the Central Goods and Services Tax Act, 2017 (and applicable State/Integrated acts). Invoices shall mandatorily contain:

  • The Company’s registered legal name: CAPG JEWELS PRIVATE LIMITED.
  • The Company’s Goods and Services Tax Identification Number (GSTIN): 09AANCC1917E1ZP.
  • The applicable corporate address, depending on the point of dispatch:
    • Principal Place of Business: 405, Premlata Apartment, Gandhi Nagar, Infront of Post Office, Agra, Uttar Pradesh.
    • Additional Place of Business (Retail/Branch): Shop No 15, First Floor, Heritage Tower, Nehru Road, Agra, Uttar Pradesh, 282002.
  • The Company’s MSME Udyam Registration Number, to ensure protection under the Micro, Small and Medium Enterprises Development Act, 2006.
  • Detailed itemization of goods, including applicable HSN/SAC codes, net weight (if applicable for silver), price per unit, and total consideration.
  • The purchaser’s billing and shipping address (and GSTIN, in the case of B2B transactions).

2.2. Dispatch of Invoices: Invoices shall be generated contemporaneously with the dispatch of goods. The electronic delivery of invoices via registered email, WhatsApp, or embedded within the shipping package shall be deemed as legally valid and final delivery of the invoice document.

3. TAXATION AND LEVIES 3.1. Forward Charge Mechanism: Unless specifically exempted by statute, all sales of silver goods are subject to applicable GST on a forward-charge basis. The purchaser shall be liable for the total invoice amount, which includes the base price of the goods plus the applicable GST rate for precious metals. 3.2. Duties: Any additional octroi, customs duties, or localized levies applicable to the shipping destination shall be the sole responsibility of the purchaser.

4. PAYMENT TERMS AND REALIZATION

4.1. Payment Window: Time is of the essence. The recipient is required to remit full payment against the invoice within seven (7) working days from the date of receipt of the invoice, unless a prior credit arrangement has been executed in writing.

4.2. Modes of Payment: Payments must be electronically transferred to the authorized bank account of CAPG JEWELS PRIVATE LIMITED. The designated bank account details (including Bank Name, Account Number, and IFSC Code) will be explicitly stated on the face of every invoice.

4.3. Default and Interest: Failure to clear the invoice amount within the stipulated seven (7) working days shall attract penal interest at the rate of [Insert Rate, e.g., 18% per annum] calculated daily from the due date until actual realization, subject to the provisions of the MSMED Act, 2006.

5. DELIVERY, RISK, AND TITLE

5.1. The transfer of risk associated with the goods passes to the purchaser upon handover of the shipment to the primary logistics carrier.

5.2. Title and ownership of the goods shall remain vested with the Company until the invoice amount is realized in full in the Company's designated bank account.

6. DISPUTE RESOLUTION AND JURISDICTION

6.1. Any discrepancies regarding the billed amount, quality, or weight of the delivered silver goods must be raised by the purchaser in writing within 48 hours of delivery. Beyond this period, the invoice and goods shall be deemed unconditionally accepted.

6.2. All disputes arising from or in connection with the invoices issued shall be subject to the exclusive jurisdiction of the competent courts at Agra, Uttar Pradesh.

 7. Shipping Policy

7.1 Products will be delivered within 5-7 working days.
